CS Executive or Company Secretary Executive is a course for undergraduates under the Institute of Company Secretaries of India (ICSI) who needs to go through 3 stages while the graduates need to go through two stages. The undergraduates go through the CS Foundation, CS Executive and CS Professional programs.

The graduates go through executive and professional programs only. It is a very difficult job to pursue; hence if you’re ambitious only then you must take the job.

There are different eligibility criteria for a company when they hire a Company Secretary.

CS Executive

The duration of the CS Executive course is 9 month and ICSI (Institute of Company Secretaries of India) help in promoting, regulating, and developing the profession of company secretaries in India. It is a statutory professional body.

Candidates can get jobs related to foreign collaborations, secretarial and corporate governance.

CS Executive Syllabus

As mentioned above, there are 3 stages for becoming a CS Executive. Students can pursue this course part-time along with their post-graduation or graduation course.

Those who have chosen commerce as their subject for graduation/post-graduation like B.Com/M.Com should choose this many B.Tech and BSc students apply for this course.

The candidates need to clear all the stages in order to become a company secretary. For the foundation program, there are 4 papers

  • PAPER 1: Business Environment and Law
  • PAPER 2: Business Management, Ethics, and Entrenuership
  • PAPER 3: Business Economics
  • PAPER 4: Fundamental of Accounting and Auditing

CS Executive Updated Syllabus

The syllabus of the CS Executive program is set by ICSI. Students can pursue this course part-time along with their post-graduation or graduation course. Those who have chosen commerce as their subject for graduation/post-graduation like B.Com/M.Com should choose this subject alongside. Although many B.Tech and BSc students apply for this course.

The CS Executive new syllabus of the course consists of eight papers and two modules. There are two modules with a number of subjects in each of them. The list of subjects is given below.

Module 1

1. Jurisprudence, Interpretation & General Laws

This section covers: Constitution of India, Interpretation of Statutes, GCA 1897, Administrative Laws, Law of Torts, Limitation Act, 1963, CPC 1908, IPC 1860, CPC 1973, IEA 1872, Tribunals under Companies Act & Other Legislations, Stamp Act, 1899, Registration Act, 1908, Right to Information Act, 2005, Information Technology Act, 2000

2. Company Law

Company Law is an important part of this section, it is the responsibility of Company Secretary to handle the Legal aspects of the company.

This section is divided into 3 parts:

  1. Company Law, Principles & Concepts
  2. Company Administration and Meetings, Law and Practices
  3. Company Secretary as a Profession

3. Setting up of Business Entities and Closure

From setting up the business to winding up & closure of Business, the Company Secretary needs to handle everything.

This section is divided into 3 parts:

  1. Setting up of Business
  2. Registration, Licenses & Compliances
  3. Insolvency, Winding up& Closure of Business

4. Tax Laws

The Company Secretary needs to ensure that the taxes have been paid on time and other tax-related issues. With that, he/she has the manage the tax returns.

This section is divided into 2 parts:

  1. Direct Taxes 
  2. Indirect Taxes

Module 2

1. Corporate & Management Accounting

Under Corporate and Management Accounting, the Company Secretary has to keep recording and handle the financial transactions, investments, and loans taken by an organization.

This section is divided into 4 parts:

  1. Corporate Accounting
  2. Accounting Standards
  3. Concepts and Principles of Valuation
  4. Cost and Management Accounting 

2. Securities Laws & Capital Markets

Under Securities, Laws and Capital Market, the Company Secretary has to go through the legal aspects and government regulations for public and private sector companies.

This section is divided into 2 parts:

  1. Securities Laws
  2. Capital Market & Intermediaries

3. Economic, Business and Commercial Laws

In order to keep the origination from any legal interference, the Company Secretary has to goo through Economic, Business and Commercial Laws. This section is divided into 3 parts:

  1. Foreign Exchange Management and NBFCs
  2. Competition Laws
  3. Business and Commercial Laws

4. Financial and Strategic Management

The Company Secretary has to manage the allocation of funds and resources of the company. He/She has to examine strategic and financial management in an organization. This section is divided into 3 parts:

  1. Strategic Management
  2. Financial Management
  3. Information Technology

CS Executive Subjects

In the two modules, there are 4 subjects each. In Jurisprudence, interpretation and general law, students learn about the Constitution of India.

They learn about various acts, the law of torts, etc. In the topic of corporate and management accounting, the formulation of effective accounting systems for the record-keeping and handling of financial transactions are performed.

The topics covered are corporate accounting, accounting standards, cost, and management accounting.

CS Executive Registration

Students can register for all the 3 types of courses through ICSI CS registration. The CS examinations are held twice a year and the registration process is open for the entire year.

Those who wish to appear for this exam need to register with the Board of Studies. Documents like passport size photograph, class 10th certificate, ID proof, etc. The students who have registered successfully for the program get the necessary study material.

  1. Visit the official website of ICSI and click on online services.
  2. Next click on Register for CS course.
  3. Read all the student registration carefully and keep the documents ready as listed.
  4. Next click on proceed to registration
  5. Fill the registration form which includes details like aadhar number, personal details, etc.
  6. After filling personal details, candidates need to fill their Address Details.
  7. After the form is filled, click on next for registration.
  8. A unique ID is generated after the details are filled; it is suggested to candidates to note down the number.
  9. In the next step, the candidates need to fill their education details along with their father and mother’s name.
  10. In the next screen, candidates need to select a source of information and check the fee details for the particular program.
  11. Then the students need to upload a passport size photograph, signatures and other relevant documents.
  12. The final step appears, check all your details and proceed to the next step for payment.
  13. Select the mode of payment and enter the required amount, after the payment a transaction ID is generated, note it down.
  14. After the payment, you’re successfully registered for the CS program.

CS Executive Study Material

The study material for the program is provided by the ICSI. Once your documents are verified by the institute, the study material is sent by post to the candidate’s given address.

The study material is very helpful for the exams. CS toppers always suggest studying from the given study material only. They don’t need to buy extra books for their exam preparations. Students can download study material for previous years online.

CS Executive Module

The executive program consists of 2 modules. Module 1 consists of various laws like company law, general laws, etc. Module 2 consists of topics like business, accounting, strategic management, etc.
